By accessing or using Omnilaze ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

2. Description of Service

Omnilaze is an AI-powered e-commerce automation platform that provides:

  • Viral Clipper: AI-assisted video creation and editing tools
  • Instant Store: Shopify product page generation and optimization
  • Digital Assets: AI-generated artwork, mockups, and visual content
  • Affiliate Program: Referral-based commission earning system

3. Account Registration

3.1 Account Requirements

  • You must provide accurate, complete, and current information
  • You are responsible for maintaining the security of your account credentials
  • You must notify us immediately of any unauthorized access
  • One account per person/entity unless explicitly authorized

3.2 Account Termination

We reserve the right to suspend or terminate accounts that:

  • Violate these Terms or applicable laws
  • Engage in fraudulent or abusive behavior
  • Remain inactive for extended periods
  • Fail to pay subscription fees

4. Subscription Plans and Billing

4.1 Plans

We offer the following subscription tiers:

  • Starter: $39/month - Basic access with limited credits
  • Pro: $79/month - Full access with increased credits
  • Scale: $99/month - Unlimited access with maximum credits

4.2 Billing

  • Subscriptions are billed monthly in advance
  • Payments are processed securely through Lemon Squeezy
  • All prices are in USD unless otherwise stated
  • Applicable taxes will be added based on your location

4.3 Refund Policy

  • 14-day money-back guarantee for new subscriptions
  • Refunds are prorated for unused service time
  • No refunds for consumed credits or generated content
  • Refund requests must be submitted to support@omnilaze.com

4.4 Cancellation

  • You may cancel your subscription at any time
  • Access continues until the end of the current billing period
  • No partial refunds for mid-cycle cancellations after 14 days
  • Generated content remains accessible for 30 days after cancellation

5. Credits System

5.1 Credit Allocation

  • Credits are allocated monthly based on your subscription plan
  • Each action (video generation, image creation, etc.) consumes credits
  • Credit costs vary by feature and complexity

5.2 Credit Policies

  • No Rollover: Unused credits expire at the end of each billing cycle
  • No Transfer: Credits cannot be transferred between accounts
  • No Cash Value: Credits have no monetary value and cannot be refunded
  • Failed Operations: Credits are not deducted for failed generations

5.3 Additional Credits

Extra credits may be purchased or earned through:

  • One-time credit pack purchases
  • Referral bonuses
  • Promotional offers

6. Affiliate Program

6.1 Program Overview

Our affiliate program allows you to earn commissions by referring new customers:

  • Commission Rate: 20% recurring commission on all payments made by referred users, for the lifetime* of the referred customer's subscription
  • Attribution: Cookie-based referral tracking managed by our affiliate platform (Lemon Squeezy)

6.2 Lifetime Commission Conditions*

The "lifetime" commission is subject to the following conditions:

  • Activity Requirement: Affiliates must refer at least one (1) new paying customer every six (6) months to maintain active commission eligibility. If no new referral is made within a 6-month period, recurring commissions on existing referrals will be paused until a new referral is completed.
  • Active Subscription: Commissions are only earned while the referred customer maintains an active, paid subscription
  • Good Standing: The affiliate must remain in compliance with all program rules and these Terms

6.3 Eligibility

  • Must have an active Omnilaze account
  • Must comply with all affiliate program rules
  • Must not engage in spam, misleading advertising, or fraud
  • Self-referrals are not permitted

6.4 Payouts

  • Payment Processing: Payouts are handled automatically through our affiliate platform (Lemon Squeezy)
  • Holding Period: 30 days after commission is earned
  • Payment Methods: As available through the Lemon Squeezy affiliate dashboard

6.5 Prohibited Activities

  • Bidding on our brand keywords in paid advertising
  • Cookie stuffing or forced clicks
  • Creating fake accounts or fraudulent referrals
  • Misrepresenting Omnilaze or making false claims
  • Spam or unsolicited bulk messaging

6.6 Program Modifications

We reserve the right to modify commission rates, terms, conditions, or terminate the affiliate program at any time with a minimum of thirty (30) days prior written notice to affiliates. Any commissions earned before the effective date of such changes remain valid and payable. Continued participation in the program after the effective date of changes constitutes acceptance of the updated terms.

7. Acceptable Use Policy

7.1 Permitted Use

You may use the Service for lawful purposes in accordance with these Terms:

  • Creating content for your own business or personal use
  • Generating assets for commercial purposes (with proper licenses)
  • Integrating with authorized third-party platforms

7.2 Prohibited Use

You agree NOT to use the Service to:

  • Generate illegal, harmful, or offensive content
  • Create content that infringes intellectual property rights
  • Produce deepfakes or misleading media without consent
  • Generate content depicting minors inappropriately
  • Create spam, malware, or phishing content
  • Circumvent usage limits or access controls
  • Resell or sublicense access to the Service
  • Reverse engineer or attempt to extract source code
  • Interfere with or disrupt the Service or servers
  • Impersonate others or provide false information

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including its original content, features, and functionality, is owned by Omnilaze and protected by international copyright, trademark, and other intellectual property laws.

8.2 Your Content

  • You retain ownership of content you upload to the Service
  • You grant us a license to process, store, and display your content for Service operation
  • You are responsible for having rights to content you upload

8.3 Generated Content

  • Content generated using the Service is owned by you
  • You may use generated content for commercial purposes
  • We make no claims to AI-generated output
  • You are responsible for ensuring generated content doesn't infringe third-party rights

9. Third-Party Services

The Service may integrate with third-party services:

  • Shopify: For store integration and product management
  • Lemon Squeezy: For payment processing
  • AI Providers: For content generation (OpenAI, Replicate, etc.)

Your use of third-party services is subject to their respective terms and policies. We are not responsible for third-party service availability or actions.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy, reliability, or completeness of content
  • Uninterrupted or error-free operation

AI-generated content may contain errors, inaccuracies, or unexpected results. You are responsible for reviewing and validating all generated content before use.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMNILAZE SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, goodwill, or other intangible losses
  • Damages resulting from unauthorized access to your account
  • Damages related to third-party services or content

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Omnilaze and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you upload or generate

13. Dispute Resolution

13.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at legal@omnilaze.com to attempt informal resolution for 30 days.

13.2 Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration, except for claims that qualify for small claims court.

13.3 Class Action Waiver

You agree to resolve disputes individually and waive your right to participate in class action lawsuits or class-wide arbitration.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes via email or prominent notice on the Service. Continued use after changes constitutes acceptance of the new Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Service, constitute the entire agreement between you and Omnilaze regarding your use of the Service.
